中華人民共和國中小企業促進法》已由中華人民共和國第十二屆全國人民代表大會常務委員會第二十九次會議於201791日修訂通過,現將修訂後的《中華人民共和國中小企業促進法》公布,自201811日起施行。

The Law of the People's Republic of China on the Promotion of Small and Medium-sized Enterprises, revised and adopted at the 29th Session of the Standing Committee of the 12th National People's Congress of the People's Republic of China on September 1, 2017, is hereby promulgated for implementation as of January 1, 2018.

第一章

Chapter 1 General Provisions

第一條   為了改善中小企業經營環境,保障中小企業公平參與市場競爭,維護中小企業合法權益,支持中小企業創業創新,促進中小企業健康發展,擴大城鄉就業,發揮中小企業在國民經濟和社會發展中的重要作用,制定本法。

Article 1 This Law is formulated for the purposes of improving upon the business environment for small and medium enterprises, ensuring that small and medium enterprises participate in market competition fairly, protecting the legitimate rights and interests of small and medium enterprises, supporting entrepreneurship and innovation of small and medium enterprises, promoting healthy development of small and medium enterprises, increasing employment in urban and rural areas, and optimising the important role of small and medium enterprises in national economy and social development.

第二條   本法所稱中小企業,是指在中華人民共和國境內依法設立的,人員規模、經營規模相對較小的企業,包括中型企業、小型企業和微型企業。

Article 2 For purposes of this Law, small and medium-sized enterprises refer to the enterprises that are established according to law within the territory of the People's Republic of China with a relatively small scale of staff and operation, including medium-sized, small and micro enterprises.

中型企業、小型企業和微型企業劃分標準由國務院負責中小企業促進工作綜合管理的部門會同國務院有關部門,根據企業從業人員、營業收入、資產總額等指標,結合行業特點制定,報國務院批準。

The standard for classifying small, medium-sized and micro enterprises shall be formulated by the department under the State Council in charge of comprehensive coordination of the promotion of SMEs together with the relevant departments under the State Council according to the indexes such as the number of employees, the business income and the total assets of the enterprises and in light of the characteristics of the industries, and the standard shall be subject to the approval of the State Council.

第三條   國家將促進中小企業發展作為長期發展戰略,堅持各類企業權利平等、機會平等、規則平等,對中小企業特別是其中的小型微型企業實行積極扶持、加強引導、完善服務、依法規範、保障權益的方針,為中小企業創立和發展創造有利的環境。

Article 3 The State shall treat the promotion of the development of SMEs as a long-term development strategy, persist in the equality of all kinds of rights, opportunities and rules, and apply the guidelines with respect to SMEs and especially small and micro enterprises of "actively supporting, strengthening guidance, improving service, regulating according to the law and guaranteeing their rights and interests to create a favorable environment for the establishment and development of SMEs".

第四條   中小企業應當依法經營,遵守國家勞動用工、安全生產、職業衛生、社會保障、資源環境、質量標準、知識產權、財政稅收等方面的法律、法規,遵循誠信原則,規範內部管理,提高經營管理水平;不得損害勞動者合法權益,不得損害社會公共利益。

Article 4 SMEs shall operate according to the law and abide by the national laws and regulations on labor employment, safe production, occupational hygiene, social security, resources and environment, quality standards, intellectual property rights and financial taxation, as well as abide by the principle of good faith, regulate internal management, and improve operation and management level; and shall not harm the legitimate rights and interests of workers or the social public interests.

第五條   國務院制定促進中小企業發展政策,建立中小企業促進工作協調機制,統籌全國中小企業促進工作。

Article 5 The State Council shall formulate policies on the promotion of SMEs, establish a work coordination mechanism for the promotion of SMEs and make overall arrangements for the promotion of nationwide SMEs.

國務院負責中小企業促進工作綜合管理的部門組織實施促進中小企業發展政策,對中小企業促進工作進行宏觀指導、綜合協調和監督檢查。

The State Council department in charge of comprehensive administration for promotion of small and medium enterprises shall organise and implement policies for promotion of small and medium enterprises, provide macro guidance, integrated coordination, and carry out supervision and inspection for promotion of small and medium enterprises.

國務院有關部門根據國家促進中小企業發展政策,在各自職責範圍內負責中小企業促進工作。

The relevant departments of the State Council shall, in accordance with the policies of the State on the promotion of SMEs, be responsible for the promotion of SMEs within their respective scope of duties.

縣級以上地方各級人民政府根據實際情況建立中小企業促進工作協調機制,明確相應的負責中小企業促進工作綜合管理的部門,負責本行政區域內的中小企業促進工作。

All levels of People's Government of county level and above shall establish a coordination mechanism for promotion of small and medium enterprises based on actual conditions, specify the corresponding authorities responsible for comprehensive administration for promotion of small and medium enterprises to be responsible for promotion of small and medium enterprises within their administrative region.

第六條   國家建立中小企業統計監測制度。統計部門應當加強對中小企業的統計調查和監測分析,定期發布有關信息。

Article 6 The State shall establish a statistics monitoring system for small and medium enterprises. The statistics department shall strengthen statistical investigation, monitoring and analysis for small and medium enterprises, announce the relevant information on a regular basis.

第七條   國家推進中小企業信用制度建設,建立社會化的信用信息征集與評價體系,實現中小企業信用信息查詢、交流和共享的社會化。

Article 7 The State shall promote the construction of the credit system for SMEs and establish a social credit information collection and evaluation system to realize the socialization of the inquiry, communication and sharing of credit information of SMEs.

第二章 財稅支持

Chapter 2 Financial and Tax Support

第八條   中央財政應當在本級預算中設立中小企業科目,安排中小企業發展專項資金。

Article 8 The central budget shall create an account for SMEs at the corresponding level for earmarking special funds for supporting the development of SMEs.

縣級以上地方各級人民政府應當根據實際情況,在本級財政預算中安排中小企業發展專項資金。

The local people's governments at or above the county level shall earmark special funds for supporting the development of SMEs at the corresponding budget level in light of the actual situations.

第九條   中小企業發展專項資金通過資助、購買服務、獎勵等方式,重點用於支持中小企業公共服務體系和融資服務體系建設。

Article 9 The special funds for the development of SMEs shall, through subsidy, purchase of services and rewards, be mainly used to support the construction of the public service systems and financing service systems for SMEs.

中小企業發展專項資金向小型微型企業傾斜,資金管理使用堅持公開、透明的原則,實行預算績效管理。

The special fund for development of small and medium enterprises shall be inclined towards small and micro enterprises, and administration of funds shall adhere to the principles of transparency and transparency, and be subject to budget performance management.

第十條   國家設立中小企業發展基金。國家中小企業發展基金應當遵循政策性導向和市場化運作原則,主要用於引導和帶動社會資金支持初創期中小企業,促進創業創新。

Article 10 The State shall establish a fund for the development of SMEs. The National SME Development Fund shall follow the policy-oriented and market-oriented operation principles that are mainly applied to guide and promote social funds to support SMEs at the start-up stage to promote entrepreneurship and innovation.

縣級以上地方各級人民政府可以設立中小企業發展基金。

Local people's governments at or above the county level may establish SME development funds.

中小企業發展基金的設立和使用管理辦法由國務院規定。

The administrative measures for the establishment and use of SME development funds will be formulated by the State Council.

第十一條   國家實行有利於小型微型企業發展的稅收政策,對符合條件的小型微型企業按照規定實行緩征、減征、免征企業所得稅、增值稅等措施,簡化稅收征管程序,減輕小型微型企業稅收負擔。

Article 11 The State shall implement tax policies conducive to development of small and micro enterprises, implement measures such as deferment, reduction or exemption of enterprise income tax, value-added tax for qualified small and micro enterprises pursuant to the provisions, simplify the procedures for administration of tax collection, and reduce the tax burden on small and micro enterprises.

第十二條   國家對小型微型企業行政事業性收費實行減免等優惠政策,減輕小型微型企業負擔。

Article 12 The State shall implement reduction and exemption of administrative fees and charges for small and micro enterprises, to reduce the burden on small and micro enterprises.

第三章 融資促進

Chapter III Financing Promotion

第十三條   金融機構應當發揮服務實體經濟的功能,高效、公平地服務中小企業。

Article 13 Financial institutions shall optimise the function of serving real economy, and provide efficient and fair services to small and medium enterprises.

第十四條   中國人民銀行應當綜合運用貨幣政策工具,鼓勵和引導金融機構加大對小型微型企業的信貸支持,改善小型微型企業融資環境。

Article 14 The People's Bank of China shall comprehensively use monetary policy instruments to encourage and guide financial institutions to increase their credit support for small and micro enterprises and improve the financing environment for small and micro enterprises.

第十五條   國務院銀行業監督管理機構對金融機構開展小型微型企業金融服務應當制定差異化監管政策,采取合理提高小型微型企業不良貸款容忍度等措施,引導金融機構增加小型微型企業融資規模和比重,提高金融服務水平。

Article 15 The banking regulatory authority of the State Council shall formulate differentiated regulatory policies for provision of financial services by financial institutions to small and micro enterprises, adopt measures such as reasonable improvement of tolerance for non-performing loans to small and micro enterprises, guide financial institutions in increasing the scale and ratio of financing by small and micro enterprises, and improve the standard of financial services.

第十六條   國家鼓勵各類金融機構開發和提供適合中小企業特點的金融產品和服務。

Article 16 The State shall encourage all kinds of financial institutions to develop and provide financial products and services in line with the characteristics of SMEs.

國家政策性金融機構應當在其業務經營範圍內,采取多種形式,為中小企業提供金融服務。

The State policy -oriented financial institutions shall, within their business operation scope, provide financial services to small and medium-sized enterprises.

第十七條   國家推進和支持普惠金融體系建設,推動中小銀行、非存款類放貸機構和互聯網金融有序健康發展,引導銀行業金融機構向縣域和鄉鎮等小型微型企業金融服務薄弱地區延伸網點和業務。

Article 17 The State shall promote and support the construction of an inclusive financial system, promote the orderly and healthy development of small and medium-sized banks, non-depository lending institutions and Internet finance, and guide banking financial institutions to extend their outlets and business to regions such as counties and townships where financial services to small and micro enterprises are weak.

國有大型商業銀行應當設立普惠金融機構,為小型微型企業提供金融服務。國家推動其他銀行業金融機構設立小型微型企業金融服務專營機構。

State-owned large commercial banks shall establish inclusive financial institutions to provide financial services for small and micro enterprises. The State promotes other banking financial institutions to establish organisations to provide financial services exclusively to small and micro enterprises.

地區性中小銀行應當積極為其所在地的小型微型企業提供金融服務,促進實體經濟發展。

Regional small and medium banks shall actively provide financial services to small and micro enterprises at their location, to promote development of real economy.

第十八條   國家健全多層次資本市場體系,多渠道推動股權融資,發展並規範債券市場,促進中小企業利用多種方式直接融資。

Article 18 The State shall improve the multi-level capital market system, promote equity financing through various channels, develop and regulate the bond market, and promote the direct financing of SMEs by various means.

第十九條   國家完善擔保融資制度,支持金融機構為中小企業提供以應收賬款、知識產權、存貨、機器設備等為擔保品的擔保融資。

Article 19 The State shall improve upon the secured financing system, support financial institutions in providing secured financing to small and medium enterprises which pledge their accounts receivable, intellectual property, inventory, machinery and equipment etc as collateral.

第二十條   中小企業以應收賬款申請擔保融資時,其應收賬款的付款方,應當及時確認債權債務關系,支持中小企業融資。

Article 20 Where a small and medium-sized enterprise applies for secured financing with accounts receivable, the payer for accounts receivable shall confirm the debtor-creditor relationship in a timely manner to support SME financing.

國家鼓勵中小企業及付款方通過應收賬款融資服務平臺確認債權債務關系,提高融資效率,降低融資成本。

The State shall encourage SMEs and payers to confirm the lending relationship through the financing service platform to improve financing efficiency and reduce the costs of financing.

第二十一條   縣級以上人民政府應當建立中小企業政策性信用擔保體系,鼓勵各類擔保機構為中小企業融資提供信用擔保。

Article 21 The people's governments at or above the county level shall establish a policy credit guarantee system for SMEs to encourage all kinds of guarantee institutions to provide credit guarantees for SME financing.

第二十二條   國家推動保險機構開展中小企業貸款保證保險和信用保險業務,開發適應中小企業分散風險、補償損失需求的保險產品。

Article 22 The State shall impel insurance institutions to conduct loan guarantee insurance and credit insurance business for SMEs, and develop insurance products that meet the demand of SMEs for risk diversification and compensation for losses.

第二十三條   國家支持征信機構發展針對中小企業融資的征信產品和服務,依法向政府有關部門、公用事業單位和商業機構采集信息。

Article 23 The State shall support credit reporting agencies to develop credit reporting products and services for SME financing and garner information from relevant government departments, public utilities and commercial institutions according to the law.

國家鼓勵第三方評級機構開展中小企業評級服務。

The State shall encourage third-party rating agencies to provide rating services to SMEs.

第四章 創業扶持

Chapter 4 Support for Start-up

第二十四條   縣級以上人民政府及其有關部門應當通過政府網站、宣傳資料等形式,為創業人員免費提供工商、財稅、金融、環境保護、安全生產、勞動用工、社會保障等方面的法律政策諮詢和公共信息服務。

Article 24 People's Governments of county level and above and their relevant departments shall provide legal and policy consultation and public information services pertaining to industry and commerce, finance and tax, financial, environmental protection, work safety, employment, social security etc through government websites and propaganda materials etc free of charge to entrepreneurs.

第二十五條   高等學校畢業生、退役軍人和失業人員、殘疾人員等創辦小型微型企業,按照國家規定享受稅收優惠和收費減免。

Article 25 Small and micro enterprises established by tertiary institution graduates, ex-servicemen, unemployed persons and disabled persons etc shall enjoy tax incentives and fee reduction and exemption pursuant to the provisions of the State.

第二十六條   國家采取措施支持社會資金參與投資中小企業。創業投資企業和個人投資者投資初創期科技創新企業的,按照國家規定享受稅收優惠。

Article 26 The State adopts measures to support investment of social funds in small and medium enterprises. Venture capital enterprises and individual investors investing in technological innovation enterprises in the start-up phase shall enjoy tax incentives pursuant to the provisions of the State.

第二十七條   國家改善企業創業環境,優化審批流程,實現中小企業行政許可便捷,降低中小企業設立成本。

Article 27 The State shall improve upon entrepreneurship environment, optimise examination and approval workflow, achieve convenient administrative licensing for small and medium enterprises, and reduce costs of establishment of small and medium enterprises.

第二十八條   國家鼓勵建設和創辦小型微型企業創業基地、孵化基地,為小型微型企業提供生產經營場地和服務。

Article 28 The State shall encourage the establishment and start-up of small and micro enterprise start-up and incubation bases and provide production and business premises and services for small and micro enterprises.

第二十九條   地方各級人民政府應當根據中小企業發展的需要,在城鄉規劃中安排必要的用地和設施,為中小企業獲得生產經營場所提供便利。

Article 29 Local people's governments at all levels shall, according to the needs of the development of SMEs, arrange for necessary land and facilities in urban and rural planning and facilitate the acquisition of production and business premises by SMEs.

國家支持利用閑置的商業用房、工業廠房、企業庫房和物流設施等,為創業者提供低成本生產經營場所。

The State supports the use of idle commercial premises, industrial factories, corporate warehouses and logistics facilities etc, to provide low-cost manufacturing and business premises for entrepreneurs.

第三十條   國家鼓勵互聯網平臺向中小企業開放技術、開發、營銷、推廣等資源,加強資源共享與合作,為中小企業創業提供服務。

Article 30 The State shall encourage Internet platforms to open technology, development, marketing, promotion resources and so on for SMEs, strengthen resource sharing and cooperation, and provide services for the entrepreneurship of SMEs.

第三十一條   國家簡化中小企業注銷登記程序,實現中小企業市場退出便利化。

Article 31 The State shall simplify the procedures for deregistration of SMEs to facilitate the market exit for SMEs.

第五章 創新支持

Chapter 5 Innovation Support

第三十二條   國家鼓勵中小企業按照市場需求,推進技術、產品、管理模式、商業模式等創新。

Article 32 The State shall encourage SMEs to promote innovation in technology, products, management modes and business models according to market demand.

中小企業的固定資產由於技術進步等原因,確需加速折舊的,可以依法縮短折舊年限或者采取加速折舊方法。

Where there is a need for accelerated depreciation of fixed assets of small and medium enterprises due to technological advancement etc, the enterprise may adopt reduced depreciation period or the accelerated depreciation method pursuant to the law.

國家完善中小企業研究開發費用加計扣除政策,支持中小企業技術創新。

The State shall improve upon the policies for additional deduction of research and development expenses for small and medium enterprises, to support technological innovation by small and medium enterprises.

第三十三條   國家支持中小企業在研發設計、生產制造、運營管理等環節應用互聯網、雲計算、大數據、人工智能等現代技術手段,創新生產方式,提高生產經營效率。

Article 33 The State shall support SMEs to apply modern technological means such as the Internet, cloud computing, big data and artificial intelligence in links such as research, development and design, production and manufacturing, and operation and management to innovate production methods and improve production and operation efficiency.

第三十四條   國家鼓勵中小企業參與產業關鍵共性技術研究開發和利用財政資金設立的科研項目實施。

Article 34 The State shall encourage SMEs to participate in the research and development of industrial key generic technologies and the implementation of scientific research projects established by financial funds.

國家推動軍民融合深度發展,支持中小企業參與國防科研和生產活動。

The State shall promote military-civilian integration for in-depth development, and support small and medium enterprises to participate in defence research and manufacturing activities.

國家支持中小企業及中小企業的有關行業組織參與標準的制定。

The State supports participation by small and medium enterprises and the relevant industry associations of small and medium enterprises in formulation of standards.

第三十五條   國家鼓勵中小企業研究開發擁有自主知識產權的技術和產品,規範內部知識產權管理,提升保護和運用知識產權的能力;鼓勵中小企業投保知識產權保險;減輕中小企業申請和維持知識產權的費用等負擔。

Article 35 The State shall encourage SMEs to research and develop technologies and products with proprietary intellectual property rights, regulate the management of internal intellectual property rights and improve the ability to protect and apply intellectual property rights; encourage SMEs to participate in intellectual property rights insurance; and reduce the burden of SMEs in regard to the costs for applying for and maintaining intellectual property rights, etc.

第三十六條   縣級以上人民政府有關部門應當在規劃、用地、財政等方面提供支持,推動建立和發展各類創新服務機構。

Article 36 The relevant departments of People's Governments of county level and above shall provide planning, land use, fiscal support etc, and promote establishment and development of various types of innovation service organisations.

國家鼓勵各類創新服務機構為中小企業提供技術信息、研發設計與應用、質量標準、實驗試驗、檢驗檢測、技術轉讓、技術培訓等服務,促進科技成果轉化,推動企業技術、產品升級。

The State shall encourage various types of innovation service agencies to provide technical information, R&D design and application, quality standards, experimental tests, inspection and testing, technology transfer, technical training and other services for SMEs so as to promote the transformation of scientific and technological achievements and promote the upgrading of technologies and products.

第三十七條   縣級以上人民政府有關部門應當拓寬渠道,采取補貼、培訓等措施,引導高等學校畢業生到中小企業就業,幫助中小企業引進創新人才。

Article 37 The relevant departments of People's Governments of county level and above shall widen channels, adopt subsidy and training measures etc, guide tertiary institution graduates to be employed with small and medium enterprises, and help small and medium enterprises to introduce innovative talents.

國家鼓勵科研機構、高等學校和大型企業等創造條件向中小企業開放試驗設施,開展技術研發與合作,幫助中小企業開發新產品,培養專業人才。

The State shall encourage scientific research institutions, colleges and universities and large enterprises to create conditions to make experimental facilities accessible to SMEs to conduct technical R&D and cooperation, and help SMEs to develop new products and cultivate professionals.

國家鼓勵科研機構、高等學校支持本單位的科技人員以兼職、掛職、參與項目合作等形式到中小企業從事產學研合作和科技成果轉化活動,並按照國家有關規定取得相應報酬。

The State shall encourage scientific research institutions and institutions of higher learning to support the scientific and technological personnel thereof to engage in industry-university-research cooperation and the transformation of scientific and technological achievements at SMEs by means of taking a part-time job, taking up a temporary post, or participating in project cooperation, etc., and obtain corresponding remuneration in accordance with the relevant provisions of the State.

第六章 市場開拓

Chapter 6 Market Development

第三十八條   國家完善市場體系,實行統一的市場準入和市場監管制度,反對壟斷和不正當競爭,營造中小企業公平參與競爭的市場環境。

Article 38 The State shall improve upon the market system, implement a unified market entry and market supervision system, crack down on monopoly and unfair competition, and create a fair competition market environment for small and medium enterprises.

第三十九條   國家支持大型企業與中小企業建立以市場配置資源為基礎的、穩定的原材料供應、生產、銷售、服務外包、技術開發和技術改造等方面的協作關系,帶動和促進中小企業發展。

Article 39 The State shall support large enterprises to establish stable cooperative relationships with SMEs in respect of raw material supply, production, marketing, service outsourcing, technology development and technological transformation on the basis of respecting the role of the market in resource allocation to promote and facilitate the development of SMEs.

第四十條   國務院有關部門應當制定中小企業政府采購的相關優惠政策,通過制定采購需求標準、預留采購份額、價格評審優惠、優先采購等措施,提高中小企業在政府采購中的份額。

Article 40 The relevant departments of the State Council shall formulate the relevant preferential policies for small and medium enterprises in relation to government procurement, adopt measures such as formulation of standards for procurement needs, reserved procurement quota, price review incentives, priority procurement etc, to raise the government procurement quota for small and medium enterprises.

向中小企業預留的采購份額應當占本部門年度政府采購項目預算總額的百分之三十以上;其中,預留給小型微型企業的比例不低於百分之六十。中小企業無法提供的商品和服務除外。

The share of procurement reserved for SMEs shall account for more than 30% of the total annual government procurement budgets for the sector, with a proportion of no less than 60% reserved for small and micro enterprises. With the exception of goods and services that cannot be provided by SMEs.

政府采購不得在企業股權結構、經營年限、經營規模和財務指標等方面對中小企業實行差別待遇或者歧視待遇。

Governmental procurement shall not exert differentiated treatment or practice discrimination against SMEs in respect of enterprise shareholding structure, operation term, operation scale and financial indicators.

政府采購部門應當在政府采購監督管理部門指定的媒體上及時向社會公開發布采購信息,為中小企業獲得政府采購合同提供指導和服務。

Government procurement departments shall promptly announce procurement information to the public through the media designated by the government procurement regulatory authorities, and provide guidance and services for small and medium enterprises to obtain government procurement contracts.

第四十一條   縣級以上人民政府有關部門應當在法律諮詢、知識產權保護、技術性貿易措施、產品認證等方面為中小企業產品和服務出口提供指導和幫助,推動對外經濟技術合作與交流。

Article 41 Relevant departments under the people's governments at or above the county level shall provide guidance and assistance for the export of products and services by SMEs with respect to legal consultation, intellectual property protection, technical trade measures and product certification to promote foreign economic and technological cooperation and exchanges.

國家有關政策性金融機構應當通過開展進出口信貸、出口信用保險等業務,支持中小企業開拓境外市場。

The policy-oriented financial institutions of the State concerned shall, by means of providing loans for import and export, export credit insurance, etc., support small and medium-sized enterprises in their efforts to develop markets abroad.

第四十二條   縣級以上人民政府有關部門應當為中小企業提供用匯、人員出入境等方面的便利,支持中小企業到境外投資,開拓國際市場。

Article 42 Relevant departments under the people's governments at or above the county level shall facilitate SMEs in the use of foreign exchanges, exit and entry and so on to support them in overseas investment and developing the international market.

第七章 服務措施

Chapter 7 Service Measures

第四十三條   國家建立健全社會化的中小企業公共服務體系,為中小企業提供服務。

Article 43 The State shall establish and improve the socialized public service system for SMEs to provide services for SMEs.

第四十四條   縣級以上地方各級人民政府應當根據實際需要建立和完善中小企業公共服務機構,為中小企業提供公益性服務。

Article 44 Local people's governments at or above the county level shall establish and improve the public service institutions for SMEs to provide them with public welfare services according to their actual needs.

第四十五條   縣級以上人民政府負責中小企業促進工作綜合管理的部門應當建立跨部門的政策信息互聯網發布平臺,及時匯集涉及中小企業的法律法規、創業、創新、金融、市場、權益保護等各類政府服務信息,為中小企業提供便捷無償服務。

Article 45 The departments of People's Governments of county level and above responsible for comprehensive administration for promotion of small and medium enterprises shall establish a cross-department policy information online dissemination platform, promptly compile various government services information on laws and regulations, entrepreneurship, innovation, finance, market, protection of rights and interests etc in relation to small and medium enterprises, and provide convenient services for small and medium enterprises free of charge.

第四十六條   國家鼓勵各類服務機構為中小企業提供創業培訓與輔導、知識產權保護、管理諮詢、信息諮詢、信用服務、市場營銷、項目開發、投資融資、財會稅務、產權交易、技術支持、人才引進、對外合作、展覽展銷、法律諮詢等服務。

Article 46 The State shall encourage all kinds of service agencies to provide services for SMEs, including entrepreneurship training and counseling, intellectual property protection, management consultation, information consultation, credit services, marketing, project development, investment and financing, finance and taxation, property rights trading, technical support, talent recruitment, foreign cooperation, exhibition and legal advice.

第四十七條   縣級以上人民政府負責中小企業促進工作綜合管理的部門應當安排資金,有計劃地組織實施中小企業經營管理人員培訓。

Article 47 The departments of People's Governments of county level and above responsible for comprehensive administration for promotion of small and medium enterprises shall arrange funds, and systematically organise and implement training for business management personnel of small and medium enterprises.

第四十八條   國家支持有關機構、高等學校開展針對中小企業經營管理及生產技術等方面的人員培訓,提高企業營銷、管理和技術水平。

Article 48 The State shall support relevant institutions, colleges and universities in providing personnel training in the operation, management and production technologies of SMEs so as to raise the level of marketing, management and technology of enterprises.

國家支持高等學校、職業教育院校和各類職業技能培訓機構與中小企業合作共建實習實踐基地,支持職業教育院校教師和中小企業技術人才雙向交流,創新中小企業人才培養模式。

The State shall support the cooperation between colleges and universities, vocational education institutions and all kinds of vocational skills training institutions and SMEs to jointly establish internship bases, support the two-way exchanges between teachers from vocational education institutions and technicians of SMEs, and innovate talent training modes for SMEs.

第四十九條   中小企業的有關行業組織應當依法維護會員的合法權益,反映會員訴求,加強自律管理,為中小企業創業創新、開拓市場等提供服務。

Article 49 Relevant SME industry organizations shall safeguard the legitimate rights and interests of their members according to the law, report the demands and complaints of the members, strengthen self-discipline management, and provide services for SMEs to innovate and explore the market.

第八章 權益保護

Chapter 8 Protection of Interests

第五十條   國家保護中小企業及其出資人的財產權和其他合法權益。任何單位和個人不得侵犯中小企業財產及其合法收益。

Article 50 The State shall protect the property rights and other legitimate rights and interests of SMEs and their contributors. No unit or individual may encroach on the property of SMEs and their legal gains.

第五十一條   縣級以上人民政府負責中小企業促進工作綜合管理的部門應當建立專門渠道,聽取中小企業對政府相關管理工作的意見和建議,並及時向有關部門反馈,督促改進。

Article 51 Departments under the people's governments at or above the county level, which are responsible for the comprehensive management of SME promotion, shall establish special channels to listen to the opinions and suggestions of SMEs with respect to relevant governmental administration, and timely provide feedback to the relevant departments to urge improvement.

縣級以上地方各級人民政府有關部門和有關行業組織應當公布聯系方式,受理中小企業的投訴、舉報,並在規定的時間內予以調查、處理。

The relevant departments of all levels of People's Government of county level and above and the relevant industry organisations shall announce contact details, accept complaints and reports from small and medium enterprises, and investigate and handle the complaints and reports within the stipulated period.

第五十二條   地方各級人民政府應當依法實施行政許可,依法開展管理工作,不得實施沒有法律、法規依據的檢查,不得強制或者變相強制中小企業參加考核、評比、表彰、培訓等活動。

Article 52 All levels of local People's Government shall implement administrative licensing pursuant to the law, and carry out administration pursuant to the law; shall not implement inspection when there is no legal or regulatory basis, and shall not coerce small and medium enterprises directly or under any pretext to participate in examination, appraisal, commendation, training etc.

第五十三條   國家機關、事業單位和大型企業不得違約拖欠中小企業的貨物、工程、服務款項。

Article 53 State organs, public institutions and large enterprises shall not default on the costs of goods, projects and services of SMEs in breach of agreements.

中小企業有權要求拖欠方支付拖欠款並要求對拖欠造成的損失進行賠償。

SMEs have the right to request delinquent borrowers to pay the amount in arrears and claim compensation for the losses caused by such delinquency.

第五十四條   任何單位不得違反法律、法規向中小企業收取費用,不得實施沒有法律、法規依據的罰款,不得向中小企業攤派財物。中小企業對違反上述規定的行為有權拒絕和舉報、控告。

Article 54 No unit may, in violation of laws and regulations, impose charges on SMEs, and shall not expropriate property from SMEs. SMEs shall have the right to refuse, report and sue for violations of the above.

第五十五條   國家建立和實施涉企行政事業性收費目錄清單制度,收費目錄清單及其實施情況向社會公開,接受社會監督。

Article 55 The State shall establish and implement a list system for the administrative charges related to enterprises. The lists of charges and imposition of charges shall be made public to receive social supervision.

任何單位不得對中小企業執行目錄清單之外的行政事業性收費,不得對中小企業擅自提高收費標準、擴大收費範圍;嚴禁以各種方式強制中小企業贊助捐贈、訂購報刊、加入社團、接受指定服務;嚴禁行業組織依靠代行政府職能或者利用行政資源擅自設立收費項目、提高收費標準。

No unit shall impose administrative fees other than those on the list of charges, or arbitrarily raise fees and charges and expand the scope of charges. It is strictly forbidden to use various means to coerce SMEs into making donations, subscribing to newspapers, joining associations or designating services. It is strictly forbidden for trade associations to arbitrarily set charge items or raise charges by acting for the government or using administrative resources without authorization.

第五十六條   縣級以上地方各級人民政府有關部門對中小企業實施監督檢查應當依法進行,建立隨機抽查機制。同一部門對中小企業實施的多項監督檢查能夠合並進行的,應當合並進行;不同部門對中小企業實施的多項監督檢查能夠合並完成的,由本級人民政府組織有關部門實施合並或者聯合檢查。

Article 56 Relevant departments under the people's governments at or above the county level shall carry out supervision and inspection of SMEs according to the law, and establish a random inspection mechanism. Where multiple supervision and inspection matters by the same department on a small or medium enterprise can be consolidated, such supervision and inspection matters shall be consolidated; where multiple supervision and inspection matters by different departments on a small or medium enterprise can be consolidated, the People's Government of counterpart level shall organise the relevant departments to implement consolidation or conduct joint inspection.

第九章 監督檢查

Chapter 9 Supervision and Inspection

第五十七條   縣級以上人民政府定期組織對中小企業促進工作情況的監督檢查;對違反本法的行為及時予以糾正,並對直接負責的主管人員和其他直接責任人員依法給予處分。

Article 57 People's Governments of county level and above shall organise supervision and inspection over promotion of small and medium enterprises on a regular basis; violations of this Law shall be promptly corrected, and the directly accountable person (s) -in-charge and other directly accountable personnel shall be punished pursuant to the law.

第五十八條   國務院負責中小企業促進工作綜合管理的部門應當委托第三方機構定期開展中小企業發展環境評估,並向社會公布。

Article 58 The State Council department responsible for comprehensive administration for promotion of small and medium enterprises shall entrust a third party organisation to conduct environmental assessment for development of small and medium enterprises on a regular basis, and announce to the public.

地方各級人民政府可以根據實際情況委托第三方機構開展中小企業發展環境評估。

Local people's governments at all levels may entrust a third-party institution with the task of carrying out an assessment of the development environment of SMEs in light of the actual situation.

第五十九條   縣級以上人民政府應當定期組織開展對中小企業發展專項資金、中小企業發展基金使用效果的企業評價、社會評價和資金使用動態評估,並將評價和評估情況及時向社會公布,接受社會監督。

Article 59 People's Governments of county level and above shall organise, on a regular basis, enterprise evaluation, social evaluation and dynamic assessment of fund use, for use of special small and medium enterprise development funds and small and medium enterprise development funds, promptly announce evaluation and assessment information to the public, and accept public supervision.

縣級以上人民政府有關部門在各自職責範圍內,對中小企業發展專項資金、中小企業發展基金的管理和使用情況進行監督,對截留、擠占、挪用、侵占、貪汙中小企業發展專項資金、中小企業發展基金等行為依法進行查處,並對直接負責的主管人員和其他直接責任人員依法給予處分;構成犯罪的,依法追究刑事責任。

The relevant departments of People's Governments of county level and above shall, within their respective scope of duties, supervise the administration and use of special funds for development of small and medium enterprises as well as the small and medium enterprise development fund, investigate and deal with acts of interception, misappropriation, embezzlement, encroachment and corruption of special funds for development of small and medium enterprises as well as the small and medium enterprise development fund, and punish the directly accountable person (s) -in-charge and other directly accountable personnel pursuant to the law; where the case constitutes a criminal offence, criminal liability shall be pursued in accordance with the law.

第六十條   縣級以上地方各級人民政府有關部門在各自職責範圍內,對強制或者變相強制中小企業參加考核、評比、表彰、培訓等活動的行為,違法向中小企業收費、罰款、攤派財物的行為,以及其他侵犯中小企業合法權益的行為進行查處,並對直接負責的主管人員和其他直接責任人員依法給予處分。

Article 60 The relevant departments of all levels of People's Government of county level and above shall, within their respective scope of duties, investigate and deal with acts of coercing small and medium enterprises directly, or under any disguise, to participate in examination, appraisal, commendation, training etc, or collecting fees and fines from small and medium enterprises, or apportioning monies to small and medium enterprises illegally, as well as other acts of infringing the legitimate rights and interests of small and medium enterprises, and punish the directly accountable person (s) -in-charge and other directly accountable personnel pursuant to the law.

第十章

Chapter 10 Supplementary Provisions

第六十一條   本法自201811日起施行。

Article 61 This Law shall come into force as of January 1, 2018.
